This email document below was given to the general manager of Morton Medical by Jonathan Boxall, regarding the sale of the company Medscope to Peter Penny.

Without consulting the General Manager of Morton Medical or the principal shareholder (50%), Peter Penny entered into negotiations with Jonathan Boxall, including disclosure of business and operational activities of Morton Medical.  Jonathan Boxall and the company Medscope who at the time was essentially a direct competitor to Morton Medical gained access to resources owned by Morton Medical in  a manor that was deceptive to the General Manager and other staff.

The management of Morton Medical was asked by Peter Penny to manage the customer services of Medscope for the month of August 2007 because Jonathan Boxall was going on his honeymoon and Peter Penny was going away for his annual 1 months summer holiday.

The doucment below details the true intention of Peter Penny, where the current Morton Medical staff would run the day to day business of Medscope, NOT only for the month of August.

Please see below the Organisational roles agreed by Peter Penny and Jonathan Boxall, behind the back of the General Manager and principal shareholder (50%) of Morton Medical.

You can see from the document below that it was Peter Penny’s intent to use Morton Medical to supply Welch Allyn products to Medscope (last item in list under 25th June Milestone):

“Agree Welch Allyn  range and pricing”

The General Manager of Morton Medical refused to supply Welch Allyn products to Jonathan Boxall and Medscope.

There was already a warning in place from Iain McGrath of Welch Allyn regarding Medscope and Jonathan Boxall.

The General Manager of Morton Medical was later threatened by the director Peter Penny for his refusal to co operate with his “competitor”.
